BACKGROUND

Owners will recall that a consultant’s report on governance issues was reviewed at a meeting of the Co-Owner Representatives held in the spring of 2012. The result of that meeting was to have the Owner’s CAO’s go through the various agreements and recommend changes that would provide greater clarity on operational requirements, reporting and governance issues. The agreements are set to expire December 31, 2012. It is important to note that the agreements do not contain business continuity provisions.

DISCUSSION

The Owner CAO’s have held two meetings to start to address issues in the agreements. Summer and the schedules of the CAO’s have made completion of the work a challenge. There is confidence that productive results will be achieved but certainly not in time to enable decision making prior to December 31, 2012.

RECOMMENDATION

It is recommended that a one year extension to the current Members Agreement, Co-Owners Agreement, Operating Agreement to December 31, 2013, and that authorization be granted to execute all documentation related to the extensions.
